The Role:

Our client, a large Market Cap SGX List co and an industry market leader is seeking a skilled corporate secretarial professional to assume a leadership role within their team.

In this role, you will be overseeing the corporate secretarial functions of the listed Singapore business and its subsidiaries, including tasks such as filings and compliance across different jurisdictions. Additionally, responsibilities include coordinating quarterly board meetings, drafting minutes, providing guidance to board members, drafting resolutions, offering ad-hoc advice, maintaining group structure integrity, and implementing governance best practices. You will also ensure timely completion of corporate actions for statutory compliance, and contributing to advisory in relation to cosec on new ventures and special projects such as restructuring and M&A activities.
 
Requirements:
  • Chartered Secretary (ICSA) qualification is preferred, though candidates with a degree or diploma in law or related fields will also be considered.
  • A minimum of 8 to 10 years of experience in corporate secretarial roles.
  • Proficiency in SGX Listing Rules, Singapore Companies Act, corporate secretarial laws, as well as a practical understanding of corporate governance and regulatory frameworks.
