Role overview
Our client, a leading international law firm, is hiring an Associate or Senior Associate to join its Singapore corporate team, working on cross-border M&A, private equity and venture capital transactions across Southeast Asia and India for financial sponsors, investors, multinationals and high-growth companies.
 
Title: Associate / Senior Associate, Corporate M&A & Private Equity
Location: Singapore (regional work across Asia-Pacific)
Reports to: Partners, Corporate & Finance
Experience: 3 to 8 years PQE

Practice mix: M&A and private equity, with exposure to venture and growth capital, joint ventures and fund-related transactions
You will work closely with highly ranked partners on high-value, multi-jurisdiction transactions, including buyouts, exits, carve-outs, minority investments and joint ventures. Clients include private equity and venture capital funds, sovereign and institutional investors, development finance institutions, multinationals and founders. Senior Associates will run deals day to day and act as the main point of contact for clients, counterparties and local counsel.
 
Key responsibilities
M&A and private equity (core practice)
  • Advise financial sponsors, investors and corporates on acquisitions, disposals, exits, carve-outs and joint ventures across Southeast Asia and India, from structuring through to completion.
  • Draft and negotiate key documents, including term sheets, share purchase agreements, investment agreements, shareholders' agreements and disclosure letters.
  • Run or supervise legal due diligence and prepare due diligence reports.
  • Manage signing and closing processes, including checklists, conditions precedent, regulatory approvals and post-closing matters.
  • Coordinate local counsel, specialist practice groups (tax, antitrust, employment, regulatory) and other advisers across multiple jurisdictions.
  • Senior Associates: lead transactions day to day, run parts of negotiations, and supervise junior associates and trainees.

Venture and growth capital

  • Act for investors and companies on venture and growth fundraisings, secondaries and investor rights arrangements.
  • Advise high-growth companies on corporate governance, employee incentive schemes and follow-on investments.
 
Team and business development
  • Prepare client updates, articles, pitch materials and directory submissions.
  • Build relationships with peers at private equity funds, investment banks, financial advisers and portfolio companies.
  • Senior Associates: mentor junior lawyers and contribute to know-how and training.
 
Requirements
  • Common law qualified.
  • Associate: 3–5 years' PQE. Senior Associate: 5–8 years' PQE.
  • Corporate M&A and/or private equity experience at an international or leading regional law firm, ideally on cross-border matters.
  • Experience acting for financial sponsors, portfolio companies, multinationals or high-growth companies.
  • Strong drafting and negotiation skills, with the ability to run transaction workstreams with limited supervision.
  • Commercial judgment, a practical, client-focused approach and English proficiency are required for the effective performance of the role, including legal drafting, preparation of transaction and due diligence documents, negotiation, client communication, and coordination with clients, counterparties, advisers and local counsel in cross-border transactions.
