The Role and the Organisation:

Our client is one of the world's Top 10 bank with decades of operations in Australia. This is a critical role sitting in the Legal & Compliance (2nd LoD), looking after legal and regulatory compliance related matters for all branches, departments, products and 500+ staff in Australia.


Responsibilities:
  • Provide a broad range of corporate and transactional legal services to all business units and branches of the Bank.
  • Support front and back offices in areas such as Retail Banking, Corporate Banking, Structured Finance, Treasury, Trade Finance, Operations, IT, Human Resources and Corporate Services.
  • Draft, review and negotiate legal documentation involving loan agreements, confidentiality agreements, product disclosure statements, property matters, outsourcing agreements, derivatives agreements, and ancillary documents such as promotional and marketing materials.
  • Provide regulatory compliance support involving AFSL, ACL or FIRB requirements to other business units.
  • Attend to external enquiries from regulators, courts, enforcement agencies, industry bodies and professional firms or consultants.
  • Project management of regulatory changes in matters such as implementation of Banking Code of Practice, Open Banking, LIBOR changes and Modern Slavery Act.
  • Handle regulatory inquiries, dispute resolution and litigation matters with external legal support where appropriate.
  • Monitor regulatory changes and providing legal updates and advices to management and relevant business units.
  • Provide corporate governance or company secretariat supports such as drafting of policies, procedures and committee meeting minutes.
  • Liaise and report to Head Office on relevant legal matters and developments.

Skill Requirements:
  • 5 - 8 years of legal experience in one or more areas of practice including Banking and Finance, Corporate, Commercial, Derivatives and Property Law.
  • Ability to assist Senior Legal Manager to competently advise management and business units/branches on relevant legal issues.
  • Work independently with minimal supervision.
  • Excellent communication skills and commercial acumen.
  • Eligible to hold a NSW legal practicing certificate, and willingness to learn and advance legal knowledge.
  • Chinese written and spoken skills essential.
